1. Agreement to Terms

By accessing or using VoxSieve’s advanced audio processing and diarization services (“Services”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree with these Terms, you may not use the Services. These Terms apply to all users, including individuals and entities, who access or use our website, mobile applications, or any features provided by VoxSieve.

2. Use License

VoxSieve grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for personal or commercial purposes, subject to these Terms. You may not:

• Modify, copy, or distribute any part of the Services without prior written consent from VoxSieve.
• Use the Services for any illegal, unethical, or unauthorized purposes.
• Attempt to decompile, reverse engineer, or hack any part of the Services.
• Remove or alter any copyright, trademark, or proprietary notices on the Services.
• Transfer your license to another person or entity without our approval.

This license terminates automatically if you violate any of these restrictions.

3. User Accounts

To access certain features of the Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials, including your password. You are liable for all activities conducted under your account, whether by you or others. You must notify us immediately at support@voxsieve.com if you suspect unauthorized use or a security breach of your account. Accounts must be created by humans; automated or bot accounts are prohibited.

4. Content Guidelines

You are responsible for all content you upload, process, or generate through the Services, including audio files, transcriptions, and diarization outputs. By using the Services, you represent and warrant that your content:

• Is owned by you or you have obtained all necessary rights and permissions to use it.
• Does not infringe on the intellectual property, privacy, or other rights of any third party.
• Complies with all applicable laws and regulations.
• Does not contain malware, viruses, or harmful code.
• Is not obscene, defamatory, or otherwise inappropriate.

VoxSieve reserves the right to review, remove, or restrict access to content that violates these guidelines at our sole discretion.

5. Service Availability

We strive to ensure the Services are available continuously but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at our discretion without prior notice. VoxSieve is not liable for any damages resulting from such changes, including temporary unavailability or permanent discontinuation of features like real-time processing or transcription.

6. Pricing and Payment

Certain features of the Services require a paid subscription. Fees are charged in advance on a recurring basis as outlined in our Pricing section. We may adjust pricing with 30 days’ notice via our website or email. All fees exclude applicable taxes, which you are responsible for unless we are required to collect them. Payments are processed securely by third-party providers (e.g., Stripe, Apple App Store, Google Play). Refunds are subject to our refund policy, and all fees are non-refundable except where required by law.

7. Termination

You may cancel your account at any time through the account settings in the Services. Upon cancellation, your access to the Services will end immediately, and your content (e.g., uploaded audio, transcriptions) will be deleted within 7 days from active systems and within 90 days from backups. Cancellation requests must be made via the Services; email or phone requests alone are insufficient. VoxSieve may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or for any other reason at our discretion. Termination results in loss of access to all content, which cannot be recovered.

8. Limitation of Liability

To the fullest extent permitted by law, VoxSieve and its affiliates, suppliers, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use or inability to use the Services. This applies even if we have been advised of the possibility of such damages. Our total liability for any claim related to the Services shall not exceed the amount you paid for the Services in the 12 months prior to the claim. The Services are provided “as is” and “as available” without warranties of any kind.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Delaware, conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or class action proceedings.

10. Changes to Terms

We may update these Terms to reflect changes in our Services, legal requirements, or operational needs. We will notify you of material changes via the Services or email at least 30 days before they take effect. Your continued use of the Services after the updated Terms are effective constitutes your acceptance of the changes. If you do not agree, you must stop using the Services and cancel your account.
